About Northfield Bancorp, Inc.

Northfield Bancorp, Inc. was the holding company for Northfield Bank, a community bank headquartered in Woodbridge, New Jersey. The bank was founded in 1887 and served consumers and businesses with deposit accounts, including certificates of deposit, savings and checking products. Its branch network covered Staten Island and Brooklyn in New York and several New Jersey counties, such as Hunterdon, Middlesex, Mercer and Union.

The bank's lending was concentrated in multifamily and commercial real estate loans, with additional activity in construction, commercial and industrial loans, residential mortgages and home equity lines of credit. It also held an investment portfolio of mortgage-backed securities and corporate bonds. At the end of 2021 it operated 38 full-service banking offices. The company first sold shares to the public in 2007 in a minority offering under a mutual holding company structure, with shares listed on Nasdaq under the symbol NFBK. It later completed a second-step conversion, becoming fully public. Expansion included the acquisition of VSB Bancorp, parent of Victory State Bank on Staten Island.

On January 31, 2026, Northfield agreed to merge with Columbia Financial, Inc., the holding company for Columbia Bank in New Jersey. Under the merger agreement each Northfield share could be exchanged, at the holder's election and subject to proration, for $14.25 in cash or 1.425 shares of Columbia Financial common stock, or a combination, with cash paid for fractional shares.

The merger was completed on July 20, 2026, with Columbia Financial as the surviving corporation and Northfield Bank merging into Columbia Bank. Time-based restricted stock vested in full, performance-based units accelerated, and outstanding options were converted into Columbia Financial options with adjusted terms.

Columbia Financial, headquartered in Fair Lawn, New Jersey, is itself a bank holding company listed on Nasdaq under the symbol CLBK. The merger combined two New Jersey-based thrift-heritage institutions with branches across the northern and central parts of the state, along with Northfield's presence on Staten Island and in Brooklyn.

Because shareholders were able to elect cash, Columbia Financial stock or a mix, subject to proration, the consideration each holder finally received depended on elections made across the shareholder base. Northfield's stock ceased to be listed at the close on July 20, 2026, and Columbia Financial is the successor registrant.

Nasdaq was asked to suspend trading and withdraw the Northfield shares after the close on July 20, 2026, and a Form 25 was filed. Columbia Financial stated it would file a Form 15 to deregister the stock and suspend reporting obligations. Four Northfield directors joined the boards of Columbia Financial and Columbia Bank, and Steven Klein became senior executive vice president and chief operating officer of the combined institution.
