About Heritage Commerce Corp

Heritage Commerce Corp was the bank holding company for Heritage Bank of Commerce, headquartered in San Jose, California. The company was formed in 1994 as the holding company for the bank, which served businesses, professionals and individuals in the San Francisco Bay Area. Its operations were concentrated in Silicon Valley and the surrounding region.

The bank focused on commercial banking and offered business checking and deposit accounts, commercial and industrial loans, commercial real estate and construction lending, SBA loans, and residential mortgage and consumer products. It also provided treasury management, remote deposit capture, payroll and electronic payment services to business customers, along with factoring and other specialty finance services.

Heritage grew through a combination of organic expansion and acquisitions. Its common stock traded on the Nasdaq Global Select Market under the symbol HTBK. Over the years it acquired several Bay Area institutions, including Diablo Valley Bank, Focus Business Bank and Presidio Bank, which broadened its branch network and deposit base across the region.

Like many community and regional banks, the company faced pressure from higher funding costs and competition for deposits in the mid-2020s, and consolidation became common in the industry. Heritage maintained a branch footprint of about a dozen offices and a business-oriented deposit franchise that made it a natural fit for a larger California bank seeking to expand in Northern California.

CVB Financial Corp., the holding company for Citizens Business Bank and based in Ontario, California, agreed to acquire Heritage Commerce Corp in a merger that combined the two organizations. The consideration to Heritage shareholders consisted of CVB Financial shares and cash. The transaction expanded CVB's presence in the San Francisco Bay Area.

CVB Financial announced the completion of the merger on April 17, 2026. Heritage Commerce Corp merged into CVB Financial, and Heritage Bank of Commerce was combined into Citizens Business Bank. A Form 25 was filed in connection with the removal of HTBK from Nasdaq, and the company subsequently filed a Form 15 to end its SEC reporting.
