About LINKBANCORP, Inc.
LINKBANCORP, Inc. was the bank holding company for LINKBANK, a Pennsylvania state-chartered commercial bank headquartered in Camp Hill, Pennsylvania. The LINKBANK franchise was formed in 2018, and in the following years the company grew through combinations with community banks. Its common stock traded on Nasdaq under the symbol LNKB.
The bank provided deposit products including checking, savings, money market accounts, and certificates of deposit, together with commercial and industrial loans, commercial real estate loans, small business lending, agricultural loans, residential mortgages, home equity lines, consumer loans, and municipal financing. It also offered online and mobile banking, bill pay, and debit card services to individuals, businesses, and municipalities.
LINKBANCORP became the successor to GNB Financial Services, the parent of The Gratz Bank, through a 2021 merger with the LINKBANK organization, and it listed its shares on Nasdaq in 2022. Its branch network was concentrated in central and southeastern Pennsylvania, including locations in Camp Hill, Gratz, Harrisburg, Lancaster, Pottsville, and West Chester.
The company later expanded its reach through a merger with Partners Bancorp, a bank holding company with operations in Maryland and Delaware, which added to its scale. Even after that expansion, LNKB was a relatively small-capitalization regional bank holding company.
Burke & Herbert Financial Services Corp., the parent of Burke & Herbert Bank & Trust Company, is an Alexandria, Virginia-based bank holding company whose shares trade on Nasdaq under BHRB. It agreed to acquire LINKBANCORP in a stock transaction that would extend its footprint into Pennsylvania.
Under the merger agreement, each share of LINKBANCORP common stock was converted into the right to receive 0.1350 shares of Burke & Herbert common stock, with cash paid in place of fractional shares. The merger took effect on May 1, 2026, when LINKBANCORP merged into Burke & Herbert and LINKBANK merged into Burke & Herbert Bank & Trust Company.
Unvested restricted shares and restricted stock units vested and received the merger consideration, while options and warrants were assumed and converted into Burke & Herbert equivalents with share counts and exercise prices adjusted by the exchange ratio. Trading in LNKB shares was suspended at the close of April 30, 2026, and a Form 25 was filed with the SEC on April 30, 2026.
