About Veritex Holdings, Inc.

Veritex Holdings, Inc. was the bank holding company for Veritex Community Bank, headquartered in Dallas, Texas. The holding company was incorporated in 2009, and the bank opened in 2010. It focused on commercial banking for small and medium-sized businesses and professionals in the Dallas-Fort Worth and Houston metropolitan areas.

The bank accepted deposits and made commercial real estate, general commercial, construction and land, residential, and mortgage warehouse loans. It also offered treasury management and cash management services, online and mobile banking, and other business banking products. As of the end of 2021, it operated 18 full-service branches in the Dallas-Fort Worth area and 10 in the Houston area.

Veritex completed its initial public offering in October 2014, and its common stock was listed on the Nasdaq under the symbol VBTX. It expanded through acquisitions of other Texas banks, including Sovereign Bancshares, Liberty Bancshares, Green Bancorp and Spirit of Texas Bancshares, all of which increased its size and presence in its core markets.

In July 2025, Huntington Bancshares Incorporated, the Columbus, Ohio-based parent of The Huntington National Bank, announced an agreement to acquire Veritex. The deal was an all-stock transaction in which each Veritex share would be exchanged for 1.95 Huntington shares, and it valued Veritex at approximately $1.9 billion. The transaction expanded Huntington's presence in Texas.

Veritex shareholders approved the merger, and the companies received the required regulatory approvals. The merger was completed on October 20, 2025, with Veritex merging into Huntington and Veritex Community Bank combining with Huntington National Bank.

At closing, each outstanding share of Veritex common stock was converted into 1.95 shares of Huntington common stock, with cash paid in place of fractional shares. A Form 25 was filed with the SEC to remove the Veritex shares from Nasdaq listing and registration.

Veritex ceased to exist as a separate public company, and its customers and branches in Texas became part of Huntington.
