About Synovus Financial Corp.

Synovus Financial Corp. was a bank holding company headquartered in Columbus, Georgia, whose roots go back to 1888. Its principal subsidiary, Synovus Bank, offered commercial and retail banking, and the company grew into one of the larger regional banking organizations in the Southeast. It operated a network of branches across Georgia, Alabama, Florida, South Carolina and Tennessee.

The company provided deposit accounts, mortgage and consumer loans, commercial and real estate lending, treasury management, and card services to individuals, small businesses and large corporations. It also offered wealth and financial management services, including trust, investment advisory and brokerage. Its operations were organized around community banking, wholesale banking and financial management segments.

Synovus common stock traded on the New York Stock Exchange under the symbol SNV, and two series of its preferred stock traded under SNV-PD and SNV-PE. In January 2019 the company completed its acquisition of FCB Financial Holdings, the parent of Florida Community Bank, which significantly expanded its Florida presence. Kevin Blair became chief executive officer in 2021, succeeding Kessel Stelling.

On July 24, 2025, Synovus and Pinnacle Financial Partners, a Nashville-based bank holding company listed on Nasdaq under the symbol PNFP, announced a merger valued at about $8.6 billion. The agreement was structured as an all-stock combination of two similarly sized regional banks. Each Synovus share would convert into 0.5237 shares of Pinnacle common stock.

Synovus shareholders approved the transaction in November 2025, and federal banking regulators granted approvals on November 25 and 26, 2025. The merger was completed at the start of January 2026, with final steps finished by January 2. The combined holding company operates under the Pinnacle name, is based in Atlanta, and reported roughly $117 billion in assets with more than 400 locations across nine states.

Synovus Bank was integrated into Pinnacle Bank, and the Synovus and Pinnacle banners are expected to continue through 2026 before consolidating under the Pinnacle name in 2027. The combined board has seven directors from each company. An SEC Form 25 covering the Synovus common stock and the two preferred series was filed on January 2, 2026.

As a result, SNV, SNV-PD and SNV-PE no longer trade on the NYSE. Former Synovus common shareholders now hold shares of Pinnacle, which trade under PNFP.
