About PB Bankshares, Inc.
PB Bankshares, Inc. was the holding company for Presence Bank, a community savings institution headquartered in Coatesville, Pennsylvania. The bank traces its origins to 1919 and served customers in Chester, Lancaster and Dauphin Counties through four branch offices and two loan production offices. It operated as a traditional full-service local lender and deposit-taker.
Presence Bank offered checking, savings, money market and certificate of deposit accounts to individuals and businesses. Its lending included one- to four-family residential mortgages, commercial real estate loans, commercial and industrial loans, construction loans, consumer loans and home equity lines of credit. It also provided commercial cash management, remote deposit capture and mobile deposit services, and it invested in debt securities.
PB Bankshares was formed as part of the bank's conversion from mutual to stock ownership, and its common stock began trading on the Nasdaq Capital Market under the symbol PBBK in 2021. As a small publicly traded thrift holding company, it faced the usual pressures on community institutions, including the costs of regulatory compliance, technology spending and competition from larger regional banks.
On July 2025, PB Bankshares announced a definitive agreement to merge with Norwood Financial Corp., the Honesdale, Pennsylvania, holding company for Wayne Bank. Norwood's stock is listed on Nasdaq under the symbol NWFL. The combination was designed to extend Wayne Bank's footprint from northeastern Pennsylvania and New York's Southern Tier into southeastern Pennsylvania.
The transaction required approval from PB Bankshares shareholders and from banking regulators. PB Bankshares shareholders approved the merger on December 11, 2025, and Norwood later announced that it had received all required regulatory approvals. Norwood stated that it expected to complete the acquisition on or about January 5, 2026.
Upon completion, PB Bankshares merged into Norwood and Presence Bank became part of the Wayne Bank franchise, with the Presence offices in Chester, Lancaster and Dauphin Counties joining Wayne Bank's network. An SEC Form 25 was filed on January 5, 2026, to remove PB Bankshares common stock from listing on Nasdaq.
The PBBK ticker is no longer traded. Former PB Bankshares holders received the merger consideration specified in the merger agreement, and the company's operations continue under Norwood and Wayne Bank.
