About HarborOne Bancorp, Inc.

HarborOne Bancorp, Inc. was the holding company for HarborOne Bank, a Massachusetts-chartered bank headquartered in Brockton, Massachusetts. The institution traces its origins to 1917, when it was founded as a credit union for employees in the Brockton area, and it later converted to a bank charter. It served individuals, families, small and mid-size businesses and municipalities in eastern Massachusetts and Rhode Island.

The bank's products included checking, savings, money market and certificate of deposit accounts, along with commercial real estate, commercial, residential mortgage and consumer loans. Its mortgage banking arm, HarborOne Mortgage, originated and sold residential mortgage loans and was a significant contributor to results during periods of strong housing activity. The company also operated branches and commercial lending offices in the Boston and Providence areas and offered financial education programs.

HarborOne completed an initial public offering in 2016 under a mutual holding company structure, listing on the Nasdaq under the symbol HONE. In 2019 it completed a second-step conversion, becoming a fully public company. In the following years it grew through commercial lending and expanded its branch network, and it later reorganized and scaled back parts of its mortgage business as mortgage volumes declined.

In April 2025, HarborOne agreed to merge with Eastern Bankshares, Inc., the Boston-based holding company of Eastern Bank. The transaction paired two Massachusetts institutions and was structured as a stock-and-cash deal, under which HarborOne shareholders would receive shares of Eastern Bankshares common stock together with a cash component for each HarborOne share held. Stockholders of both companies approved the transaction in 2025.

On October 27, 2025, the two companies announced that all required regulatory approvals had been received and that the merger would become effective on November 1, 2025. HarborOne Bancorp merged with and into Eastern Bankshares, and HarborOne Bank was to be combined with Eastern Bank.

Nasdaq ceased trading in HONE shares after the close on October 31, 2025, and a Form 25 was filed with the SEC to remove the shares from listing and registration. HarborOne stockholders received the merger consideration in the form of Eastern Bankshares stock (Nasdaq: EBC) plus cash, with cash paid in lieu of fractional shares.

After the transaction, HarborOne ceased to exist as a separate public company, and its banking operations, customers and branches became part of Eastern Bank, which became one of the larger banks headquartered in New England.
