About BankFinancial Corporation

BankFinancial Corporation was the holding company for BankFinancial, National Association, a community bank headquartered in Burr Ridge, Illinois. The bank's origins date to 1924, and it operated 19 full-service banking offices in Cook, DuPage, Lake and Will Counties in the Chicago metropolitan area. It focused on serving families, small businesses and commercial real estate customers in the region.

The bank offered deposit products that included savings, NOW, checking, money market and IRA accounts, along with certificates of deposit. Its lending portfolio emphasized multi-family and nonresidential real estate loans, construction and land loans, commercial loans and leases, and one-to-four family mortgages including home equity lines of credit. It also made consumer loans.

Other services included cash management, funds transfer, bill payment, online and mobile banking, safe deposit boxes and ATM access. The company additionally offered trust and wealth management services and operated a general insurance agency. These services were aimed at providing a full range of community banking products alongside its lending business.

BankFinancial became a public company in the mid-2000s through a stock offering and listed its common stock on the Nasdaq market under the symbol BFIN. Over the following years it worked to shift its balance sheet toward commercial and multi-family lending and managed credit quality through the real estate downturn that followed the 2008 financial crisis. It remained a relatively small publicly traded bank holding company with a loyal local deposit base.

In 2025 BankFinancial agreed to be acquired by First Financial Bancorp., the Cincinnati-based holding company of First Financial Bank, which is listed on Nasdaq under the symbol FFBC. The transaction was structured as an all-stock deal. It was described as an entry into retail and consumer banking in the Chicago market for First Financial, extending the acquirer's presence in Illinois.

The acquisition was completed effective January 1, 2026. In late December 2025, BankFinancial filed a report with the SEC regarding the removal of its stock from listing, and an SEC Form 25 was filed on January 2, 2026. Former BankFinancial shareholders received First Financial Bancorp. stock under the terms of the merger agreement.

The BFIN ticker no longer trades. BankFinancial's branches and customers are now part of First Financial's banking network.
