About Zenvia Inc.
Zenvia Inc. is a Brazilian cloud communications software company headquartered in São Paulo. Its platform lets businesses integrate messaging and customer engagement channels, including SMS, voice, WhatsApp, Instagram, Facebook Messenger, webchat, rich communication services and video, into their sales, marketing and customer service operations. Its operations were concentrated in Brazil, with additional business in Latin America including Mexico and Argentina.
The company's offerings combined communications channels with software applications. Products included Zenvia Chat for managing customer service conversations across channels, Zenvia Message for running campaigns over RCS, SMS and WhatsApp, Sirena for sales teams using WhatsApp, and SenseData for customer success analytics. It also offered Zenvia Flow, a visual builder for communication workflows, and ALTU, a conversational automation product using artificial intelligence. Use cases included marketing campaigns, customer onboarding, notifications, fraud control, cross-selling and ticket resolution.
Zenvia Inc. was incorporated in 2020 as the holding company for the group's reorganization ahead of a public offering. It completed its initial public offering in July 2021, listing American depositary shares on the Nasdaq under the symbol ZENV and becoming one of the Brazilian technology companies to list in the United States during that period. The company expanded through acquisitions, including the purchase of SenseData and Sirena.
After its listing, the company faced the effects of higher interest rates, weak Brazilian market conditions for small-capitalization growth stocks, and a share price that fell far below its offering price. Trading volume in the United States was limited, which constrained its ability to access U.S. capital markets.
On February 18, 2026, Zenvia received a notice from Nasdaq stating that it no longer complied with the minimum bid price requirement of US$1.00 per share. On February 25, 2026, the company notified Nasdaq of its intention to voluntarily delist. The board stated that it weighed the costs of remaining an SEC reporting company against the lack of an active trading market and doubted that it could regain compliance with the listing standard.
Zenvia filed a Form 25 with the SEC on March 9, 2026, with the delisting becoming effective about ten days later, and planned to file a Form 15 on or about March 19, 2026 to deregister its securities and suspend its reporting obligations under the Securities Exchange Act, including annual reports on Form 20-F and current reports on Form 6-K. The company said the securities would no longer trade on any exchange and that any trading would occur only in private transactions or possibly on an over-the-counter market with no assurance a broker would make a market. It noted that it could postpone or withdraw these filings before they took effect.
