About Synchronoss Technologies, Inc.
Synchronoss Technologies, Inc. was founded in 2000 and is headquartered in Bridgewater, New Jersey. It was started by Stephen Waldis, who led the company for many years, and it initially focused on software that helped telecommunications carriers activate and provision services for new customers. That work evolved into cloud and messaging platforms sold mainly to large carriers.
The company's products included personal cloud services for content backup, transfer and restoration across devices, messaging platforms for operators, email solutions, and digital experience software for customer journeys and workflows. Its customers were concentrated among major wireless and broadband providers in North America, Europe and Asia. A heavy dependence on a handful of large carriers shaped both its growth and its risks.
Synchronoss completed its initial public offering in 2006 and listed its common stock on Nasdaq under the symbol SNCR. In the following decade it expanded by acquisition, and it became a prominent supplier of white-label cloud storage to carriers. The company later went through a period of restatement and regulatory scrutiny, together with leadership changes, and it spent several years restructuring and repositioning its portfolio.
In later years the business concentrated on its cloud and messaging offerings, and it carried debt and preferred equity from outside investors. The company effected a reverse stock split to address its share price. Revenue growth was limited, and the board periodically reviewed strategic alternatives for the company.
In December 2025, Synchronoss announced an agreement to be acquired by Lumine Group Inc., a TSX Venture Exchange-listed acquirer of communications and media software businesses, for $9.00 per share in cash. The acquisition implied an equity value of about $116.4 million and an enterprise value of about $258.4 million. Lumine operates as a buy-and-hold acquirer of vertical market software companies.
Synchronoss stockholders approved the transaction at a special meeting on February 12, 2026, and the acquisition closed on February 13, 2026. Synchronoss became a wholly owned subsidiary of Lumine, its common stock ceased trading, and a Form 25 was filed to remove it from Nasdaq. Former holders were entitled to receive the cash merger consideration.
The sale ended Synchronoss's roughly twenty years as a public company. Lumine Group, which is part of the Constellation Software family of acquirers, manages its holdings with a long-term ownership approach and does not typically resell them. For Synchronoss customers, the carriers that use its cloud and messaging products, the change in ownership was not expected to alter service arrangements.
