About OneStream, Inc.

OneStream, Inc. is a software company based in Birmingham, Michigan, that develops a cloud platform for corporate finance teams. Tom Shea, who served as chief executive officer, is identified as its founder. The company built its product around the idea that financial consolidation, planning, reporting and analytics could run on a single platform rather than on separate tools stitched together by spreadsheets.

The platform, marketed as an intelligent finance platform, covers financial close and consolidation, budgeting and forecasting, account reconciliation, reporting, and tax and compliance workflows. Its customers are mostly mid-sized and large enterprises that need to combine data from many ERP systems and business units. OneStream also sold an extensibility framework and a marketplace of add-on solutions that let customers and partners build their own applications on the platform.

OneStream grew largely through direct sales and a network of implementation partners, and it competed with established enterprise performance management vendors as well as with finance modules offered by large software suites. Before going public it was backed by private equity investors, including KKR, which made a significant investment in the company in 2021. That investment gave the business a multibillion-dollar private valuation and funded further expansion of its product and international operations.

The company completed its initial public offering in July 2024 and its Class A common stock began trading on the Nasdaq Global Select Market under the symbol OS. As a public company it reported growing subscription revenue and continued to invest in artificial intelligence features for finance workflows. Its dual-class structure left voting control with its pre-IPO holders.

On January 6, 2026, OneStream announced a definitive agreement under which funds managed by Hg, a European software-focused investment firm, would acquire the company in an all-cash transaction valued at about $6.4 billion. Shareholders were to receive $24.00 per share, which represented a premium of roughly 31 percent to the previous closing price. General Atlantic and Tidemark were named as minority investors alongside Hg, and the acquisition was supported by committed debt financing that included a term loan and a revolving credit facility.

The transaction was approved by stockholders and closed on April 1, 2026. Upon completion, OneStream's Class A common stock ceased trading on Nasdaq and the company became privately held. A Form 25 relating to the removal of the shares from listing was filed with the SEC on April 1, 2026. OneStream continues to operate as a private company under Hg ownership.

Following the closing, the stock no longer appears on Nasdaq, and holders of record received the cash consideration through the paying agent. Under the SEC's rules, a delisting notice on Form 25 takes effect ten days after filing, after which the company can file to end its registration under the Exchange Act. Former public shareholders no longer have an equity stake in the business.
