About Dayforce, Inc.
Dayforce, Inc. was a provider of cloud-based human capital management software, with headquarters in Minneapolis, Minnesota. The company was formerly known as Ceridian HCM Holding Inc., a name tied to the long-established Ceridian payroll and human resources business, and it renamed itself Dayforce in 2024 to match its flagship software platform.
The Dayforce platform combined payroll, human resources, benefits, workforce management, talent management and related functions on a single data model. It was known especially for its continuous payroll calculation and for its workforce scheduling tools, which were used by organizations with large hourly and shift-based workforces. The company also offered Powerpay, a payroll product for small businesses in Canada, and Bureau services that provided outsourced payroll processing.
Ceridian HCM went public on the New York Stock Exchange in April 2018 under the ticker CDAY, with Thomas H. Lee Partners and Fidelity National Financial among its major early holders. The company later changed its ticker to DAY along with its name. Its customers were mainly mid-market and large employers in North America, with additional international operations.
Under chief executive David Ossip, the company emphasized recurring cloud revenue, expansion into new customer segments and the use of artificial intelligence features in its product. Competition remained intense from payroll and HCM providers such as ADP, Paycom, Paylocity, Workday and others.
On August 21, 2025, Dayforce announced it had agreed to be acquired by Thoma Bravo, a private equity firm specializing in software, in a transaction valued at roughly $12.3 billion including debt. Dayforce shareholders were to receive $70.00 per share in cash. A minority investment in the deal was made by Abu Dhabi Investment Authority.
Shareholders approved the transaction in late 2025, and regulatory approvals followed. Thoma Bravo announced completion of the acquisition on February 4, 2026. Each outstanding share was converted into $70.00 in cash, trading of the shares on the NYSE ceased, and a Form 25 was filed on February 4, 2026. Dayforce now operates as a privately held company.
