About Semrush Holdings, Inc.

Semrush Holdings, Inc. operated an online visibility management software-as-a-service platform used by marketers, agencies, and businesses to research search engine optimization, content, advertising, social media, and competitive positioning. The business was founded in 2008 by Oleg Shchegolev and Dmitry Melnikov, and the company later established its headquarters in Boston, Massachusetts.

The platform combined a large set of data about keywords, backlinks, traffic, and competitors with tools for site auditing, rank tracking, content creation, and campaign evaluation. Customers included small businesses, agencies, and larger enterprises worldwide, who typically paid subscription fees for tiered plans.

Semrush completed its initial public offering in March 2021 and its Class A common stock traded under the symbol SEMR. The company grew through a subscription model and expanded its product line to cover areas such as local listings, social media management, and content marketing, along with several acquisitions of tools and media properties.

In the mid-2020s, the way people search for information began to change as artificial intelligence assistants and generative search products gained use, and marketers sought tools to understand their visibility in those environments. Semrush invested in features aimed at tracking brand presence across AI-driven search results, and this positioning formed part of the strategic rationale for its sale.

In November 2025, Adobe Inc. announced an agreement to acquire Semrush for $12.00 per share in cash, a transaction valued at roughly $1.9 billion. Adobe described the purchase as a way to strengthen its marketing and brand visibility offerings for customers of its Experience Cloud and related products.

The transaction required approval from Semrush stockholders and customary regulatory clearances, and was completed in the spring of 2026. At closing, each outstanding share of Semrush common stock was converted into the right to receive $12.00 in cash.

A Form 25 relating to the common stock was filed on April 28, 2026, removing the shares from listing on the exchange where they traded. Semrush became a subsidiary of Adobe and its common stock no longer trades publicly.
