About CSG Systems International, Inc.

CSG Systems International, Inc. was a software and services company based in Greenwood Village, Colorado, near Denver. The company traced its roots to the early 1980s, when its billing business was built to serve the cable and satellite television industry in the United States. CSG became an independent public company in the 1990s and its shares traded on the Nasdaq exchange for roughly three decades under the ticker CSGS.

The business centered on revenue management, customer experience, digital monetization and payment solutions. Its largest customers were communications service providers, including cable, broadband, satellite and wireless operators, with a significant concentration among North American cable companies. Its offerings included billing and customer care platforms, a cloud-based convergent platform, field service and workforce tools, analytics, electronic bill presentment and payment services. CSG also sold managed services and professional services to help customers configure, run and maintain these systems.

Over time CSG broadened its customer base and geography. It pursued acquisitions to add capabilities, including the 2015 purchase of the telecom software vendor Intec, the 2018 acquisition of the payments company Forte Payment Systems, and the 2021 acquisitions of Kitewheel, a customer journey software firm, and DGIT Systems. These moves extended the company into Europe, the Middle East, Africa and Asia Pacific and into non-telecom sectors such as financial services, healthcare, insurance and government.

On October 29, 2025, CSG announced a definitive agreement to be acquired by NEC Corporation, the Tokyo-based technology group, through its Netcracker Technology subsidiary. The price was $80.70 per share in cash, a premium of about 17 percent to the closing price on October 28, 2025, and the transaction was valued at about $2.9 billion including debt. NEC said it expected the combination to strengthen its position in telecom software and digital transformation by joining CSG with the Netcracker business, which also serves communications operators.

The transaction required approval by CSG shareholders and clearance from regulators. NEC and Netcracker announced completion of the acquisition in mid-May 2026. At closing each outstanding CSG share was converted into the right to receive the cash price, and CSG became a privately held subsidiary of the NEC group. CSG filed a Form 25 with the SEC on May 15, 2026 to remove its common stock from listing on Nasdaq, and the stock ceased trading on the exchange.

Following the closing, CSG's operations were folded into NEC's global software and services business alongside Netcracker, and the company no longer files periodic reports with the SEC. The ticker CSGS is no longer active.
