About zSpace, Inc.

zSpace, Inc. is a technology company that develops augmented reality and virtual reality learning platforms for classrooms and training programs. It is based in San Jose, California, and began as a startup that created computers with stereoscopic displays and tracked styluses for hands-on three-dimensional interaction. Its offerings combine hardware, software and content for science, career and technical education.

The company sold mainly into education, with customers that included more than 3,500 technical centers, universities and school districts. It held more than 80 patents covering display, tracking and interaction technology. Revenue depended on school purchasing cycles and on government and district funding for education technology.

zSpace listed its common stock on Nasdaq under the symbol ZSPC following an initial public offering in late 2024. As a small public company with a thin trading float, it was subject to Nasdaq's continued listing requirements and to the cost of SEC reporting, including annual and quarterly reports and current reports on Form 8-K.

On April 21, 2026, Nasdaq issued a formal delisting notice to the company, and trading in zSpace shares on Nasdaq was suspended on April 28, 2026. The company appealed the determination, but the appeal was denied on August 6, 2026. After the suspension the stock remained quoted in the over-the-counter market.

On September 9, 2026, the zSpace board approved a plan to withdraw the company's listing and deregister its common stock. The board concluded that the direct and indirect costs of SEC reporting outweighed the benefits, particularly while trading was suspended, and that the move would free management time and capital for the core business.

The company planned to file a Form 25 around September 25, 2026, with the delisting expected to be effective about ten days later, and to file a Form 15 in early January 2027, once Section 12(b) deregistration took effect, to suspend its remaining reporting obligations. zSpace said it expected its shares to continue to be quoted over the counter, without assurance that broker-dealers would keep making a market.
