ZimVie Inc. (ZIMV)

ZimVie Inc. was a medical technology company headquartered in Westminster, Colorado. It was formed from the dental and spine businesses of Zimmer Biomet Holdings and became an independent public company when Zimmer Biomet completed a spin-off on March 1, 2022, with ZimVie's shares trading on the Nasdaq under the symbol ZIMV.

At the time of the spin-off, ZimVie operated two segments: dental and spine. The dental business offered tooth replacement solutions, including dental implants, prosthetics, abutments, biomaterials such as bone grafts and membranes, and digital dentistry tools, serving dentists, oral surgeons and dental laboratories worldwide. The spine business sold spinal fusion implants, motion preservation and bone-healing products to spine surgeons.

In 2024, ZimVie agreed to sell its spine business to H.I.G. Capital, a transaction that was designed to leave ZimVie as a pure-play dental company. After the sale, the company concentrated on its dental implant and restorative portfolio and on improving profitability in a competitive market dominated by large dental companies.

In July 2025, ZimVie announced a definitive agreement to be acquired by ARCHIMED, a European private equity firm specializing in healthcare investments. The agreement provided for $19.00 per share in cash, a premium to the prior trading price, in a transaction valued at roughly $730 million, including debt.

The deal required approval by ZimVie shareholders and clearances from antitrust and foreign investment authorities in several jurisdictions. ZimVie's board recommended that shareholders vote in favor of the merger.

ZimVie announced completion of its acquisition by ARCHIMED in October 2025. At closing, each share of common stock was converted into the right to receive $19.00 in cash, and the shares ceased trading on Nasdaq. A Form 25 was filed with the SEC on October 21, 2025.

Following the closing, ZimVie became a privately held company under ARCHIMED ownership and no longer has publicly traded common stock.
