About Venus Concept Inc.

Venus Concept Inc. was a medical technology company that developed and sold minimally invasive and non-invasive aesthetic and hair restoration systems. Its operating business, Venus Concept Ltd., was founded in 2002 and grew internationally. The company is headquartered in Toronto, Canada.

In November 2019 Venus Concept merged with Restoration Robotics, Inc., a Nasdaq-listed maker of the ARTAS robotic hair transplant system. The combined company took the Venus Concept name and traded on Nasdaq under the ticker VERO, combining aesthetic energy devices with robotic hair restoration.

The product line included Venus Legacy, Venus Versa, Venus Viva, Venus Bliss, Venus Velocity, Venus Fiore and Venus Glow, along with NeoGraft and ARTAS iX hair restoration systems. These were sold to dermatologists, plastic surgeons and aesthetic clinics across North America, Europe, Asia and other regions, with revenue from system sales and recurring consumables and services.

The company faced years of operating losses and tight cash, along with debt obligations and restructurings that reduced expenses. Its Nasdaq listing was challenged by a low share price, and it carried out a reverse stock split to remain compliant. Management sought to shift toward recurring revenue and reduce costs.

On January 21, 2026, Venus Concept announced its intention to voluntarily delist its common stock from the Nasdaq Capital Market and to deregister under the Securities Exchange Act. The board concluded that the resources required to continue SEC reporting obligations were greater than the benefits of the listing. The company stated that it was in compliance with Nasdaq listing requirements.

Venus Concept said it expected to file Form 25 on or about January 30, 2026, with the last trading day on Nasdaq expected on or about February 6, 2026, and a Form 15 to suspend its periodic reporting obligations expected on or about February 9, 2026. Following the delisting, the common stock continued to trade over the counter under the symbol VERO.
