About WNS (Holdings) Limited

WNS (Holdings) Limited was a provider of business process management (BPM) and related digital services, headquartered in Mumbai, India. The business began in 1996 as the captive back-office operation of British Airways and became an independent outsourcing company in 2002, when it was acquired by private equity investors. The holding company was incorporated in Jersey, Channel Islands.

WNS offered services in finance and accounting, customer experience, research and analytics, procurement, technology and other functions to clients in industries such as insurance, travel, banking and financial services, healthcare, retail and utilities. It reported in two segments: Global BPM and, for a period, Auto Claims BPM, which handled claims management for automobile insurers in the United Kingdom.

The company listed its American depositary shares on the NYSE under the symbol WNS in July 2006. It grew through acquisitions of smaller analytics, technology and consulting firms, and in recent years it emphasized data, analytics and artificial intelligence services within its clients' operations.

In July 2025, Capgemini SE, the Paris-based technology and consulting group, announced a definitive agreement to acquire WNS for $76.50 per share in cash, valuing WNS at about $3.3 billion. Capgemini said the acquisition would strengthen its capabilities in agentic AI-enabled business process services.

The transaction was structured as a scheme of arrangement under Jersey law and required approval by WNS shareholders and a Jersey court, in addition to regulatory clearances in various jurisdictions. WNS shareholders approved the scheme at their meetings in the third quarter of 2025.

WNS announced the closing of the acquisition on October 16, 2025. At closing, each WNS ordinary share, including shares represented by ADSs, was converted into the right to receive $76.50 in cash. The NYSE filed a Form 25 with the SEC on October 17, 2025 to remove the ADSs from listing and registration.

WNS is now a wholly owned subsidiary of Capgemini. The company no longer has publicly traded securities in the United States.
