About Stratus Properties Inc.
Stratus Properties Inc. was a real estate company based in Austin, Texas, engaged in the acquisition, entitlement, development, management and sale of commercial, multi-family and single-family residential properties, mainly in the Austin area. The company was incorporated in 1992 and its shares traded on Nasdaq under the symbol STRS. It originated from the real estate operations of FM Properties.
Stratus reported its results in two segments, Real Estate Operations and Leasing Operations. The real estate segment covered land development and sales of residential and commercial property, while the leasing segment managed retail, mixed-use and multi-family properties. The company concentrated on Texas and built a reputation for developing communities in and around Austin.
William H. Armstrong III led the company for many years as chairman and chief executive officer. Its holdings were centered on projects in the Austin area, where it developed mixed-use and residential communities. The company's financing included credit agreements with Fifth Third Bank.
In 2026, the board put forward a plan of liquidation and dissolution, and stockholders approved the plan on June 1, 2026. The plan provides for the orderly sale of assets, the payment or provision for liabilities and the distribution of net proceeds to stockholders over time. Amounts and timing of distributions are uncertain because they depend on asset sales, liabilities, taxes, litigation and reserves.
Stratus announced an initial liquidating distribution of $5.00 per share, paid as a special cash dividend to holders of record on July 13, 2026, with payment on July 20, 2026. Because of its agreements with Fifth Third Bank, the company needed the bank's written consent before paying dividends, including liquidating distributions. Further distributions were possible but not guaranteed.
The company announced it would voluntarily delist its common stock from Nasdaq and deregister it. A Form 25 was filed on or about July 31, 2026, with delisting to take effect about ten days later and a request that trading be suspended before the market opened on August 10, 2026. Stratus planned to file a Form 15 after the delisting to deregister its common stock and suspend SEC reporting obligations.
Stratus stated that it had not arranged for another exchange listing, though the stock might trade over the counter if broker-dealers chose to make a market. The delisting was part of the wind-down and was not an acquisition or bankruptcy. Under a plan of liquidation, a company typically stops pursuing new business, sells its remaining assets and distributes net proceeds after settling obligations. Shareholders who continue to hold shares after delisting may receive further distributions, but the amounts and timing are not fixed. Because the shares no longer trade on an exchange, liquidity is limited to any over-the-counter market that may develop.
