About Semilux International Ltd.
Semilux International Ltd. is a Taiwanese optical technology company based in Taichung. Founded in 2009, it designs and manufactures optical and fluorescent modules and components, including filters, diffusers, color wheels, fluorescent wheels and gobo filters, for use in intelligent lighting and related industries.
Its product development extended to solid state LiDAR for autonomous driving, adaptive driving beam headlight systems and optical image fusion for applications such as unmanned aerial vehicles. The company also offered integrated circuit design services.
Semilux became a U.S.-listed company through a business combination with Chenghe Acquisition I Co., a special purpose acquisition company, after which its ordinary shares traded on Nasdaq under the symbol SELX. As a foreign private issuer, it reported to the SEC on Form 20-F and Form 6-K.
On November 10, 2025, Nasdaq notified the company that its bid price had closed below $1.00 for 30 consecutive business days. In January 2026 it also received a notice that its market value of listed securities was below the minimum required for the Global Market tier. The company was given until May 11, 2026 to regain compliance with the bid price rule.
On May 15, 2026, Nasdaq issued a staff determination letter stating that the company had not regained compliance with Listing Rule 5550(a)(2). Nasdaq said it was not eligible for a second compliance period because it did not meet the stockholders' equity requirement for initial listing on the Capital Market, and it also cited the company's failure to file its annual report on Form 20-F for 2025. The company announced the letter on May 22, 2026 and said it would request a hearing before the Nasdaq Hearings Panel.
The shares were subsequently removed from Nasdaq, and a Form 25 was filed with the SEC in early October 2026. They now trade over the counter under the symbol SELXF. The delisting resulted from noncompliance with exchange rules and was not an acquisition, so no shareholder consideration was paid.
