About Monogram Technologies Inc.

Monogram Technologies Inc. was founded in 2016 as Monogram Arthroplasty Inc. and was renamed Monogram Orthopaedics in March 2017. The company was based in Austin, Texas, and later adopted the Monogram Technologies name. It developed robotic surgical technology intended to improve the precision of knee replacement procedures.

The core of its business was a semi-autonomous robotic system combined with navigation and software for total knee arthroplasty. The company's concept relied on pre-operative planning from patient imaging and a robot designed to perform precise bone preparation along optimized paths. The goal was to enable more accurate placement of implants and to support the use of personalized implants matched to a patient's anatomy.

Monogram also worked on related technologies such as tissue ablation tools, navigation consumables, and specialized instrumentation to integrate with existing surgical workflows. The company designed its platform to be open to different implant systems rather than limited to a single manufacturer's products. It had not built a large commercial business at the time of its acquisition.

Monogram raised capital from retail and institutional investors through a Regulation A offering before listing its shares on Nasdaq in 2023 under the symbol MGRM. As a development-stage medical device company, it required continued funding for regulatory work and product development. The company pursued clearance from the U.S. Food and Drug Administration for its robotic technology.

In July 2025, Zimmer Biomet Holdings announced an agreement to acquire Monogram. Under the terms, Monogram stockholders would receive $4.04 per share in cash, together with a contingent value right that could provide additional payments if certain milestones were achieved. Zimmer Biomet, a large musculoskeletal device maker, said the purchase would bring a robotics platform to its portfolio of knee replacement offerings.

Zimmer Biomet announced completion of the acquisition on October 7, 2025, with Monogram becoming a wholly owned subsidiary. Monogram's common stock stopped trading on Nasdaq, and a Form 25 delisting notice was filed with the Securities and Exchange Commission on that date. Stockholders received the cash consideration along with one contingent value right for each share held.
