About Lavoro Limited
Lavoro Limited is a Cayman Islands holding company headquartered in São Paulo, Brazil, that operated one of the largest agricultural input retail businesses in South America. The business was built from 2017 through the combination of regional distributors of crop inputs, supported by private equity investors associated with Patria Investments. It served farmers in Brazil and, through acquired businesses, in Colombia and Uruguay.
The company sold seeds, fertilizers, crop protection chemicals, specialty products and biological inputs through a network of physical stores and farm-service locations. It paired product sales with agronomic advice from field-based technical staff, and it offered digital tools for ordering and account management. Credit extended to farmers, usually tied to the crop cycle, was a significant part of how the retail model worked.
Lavoro reported its activity in several lines, including a retail business selling third-party inputs, a digital platform, and a proprietary products line that developed and marketed its own brand products, including biologicals. Management described the proprietary line as a way to improve margins relative to resale of other suppliers' products. Growth over its first years came largely from acquisitions of local retailers in Brazil and neighboring markets.
Lavoro became a public company in 2023 through a business combination with TPB Acquisition Corporation I, a special purpose acquisition company. Its ordinary shares and warrants, which were exercisable at $11.50, traded on the Nasdaq Global Market under the symbols LVRO and LVROW. Like many companies that listed through a SPAC, it faced limited trading volume and a relatively small public float.
In its announcement, Lavoro cited a challenging Brazilian agricultural market during recent crop cycles, low trading volume and a limited public shareholder base, and the ongoing cost of audit, legal and Sarbanes-Oxley compliance. The board concluded that the burdens of being a U.S. public company outweighed the advantages. In November 2025 the company had also received a Nasdaq notice of non-compliance related to a delayed annual report on Form 20-F.
On February 13, 2026, Lavoro notified Nasdaq of its intention to delist its ordinary shares and warrants voluntarily. The last day of trading on Nasdaq was expected to be February 23, 2026, and a Form 25 was filed with the SEC on February 24, 2026. The company said it planned to file a Form 15 on or about March 6, 2026 to suspend its reporting obligations. After delisting, trading was expected to be limited to privately negotiated transactions and possibly an over-the-counter market, with no assurance that a broker would make a market.
