About Integral Ad Science Holding Corp.
Integral Ad Science Holding Corp. (IAS) was a digital media quality company headquartered in New York City. It provided software that measured and analyzed the quality of digital advertising, including whether ads were viewable by real people, appeared next to brand-safe content and were free of invalid traffic. The company was founded in 2009 and sold its products to advertisers, agencies and publishers.
Its offerings included verification, brand safety and suitability, viewability, fraud detection and optimization tools that worked across display, video, mobile and connected television. It also developed contextual targeting and quality attention measurement to help advertisers decide where to buy media. The company's revenue came mainly from usage-based fees tied to the volume of ad impressions it measured.
IAS was backed for years by private equity investors and held its initial public offering in June 2021, listing on Nasdaq under the symbol IAS. Its customers included major brands and advertising agencies around the world. It competed with other independent verification providers, notably DoubleVerify, as well as with measurement offerings from large platforms.
The company expanded through acquisitions and partnerships, including purchases aimed at strengthening its capabilities for connected television and for social and mobile environments. In the years after its listing it focused on growing its customer base internationally and adapting its tools to new formats such as streaming video. Its shares, however, traded well below the level of its initial public offering as the digital advertising industry went through a slowdown.
On September 24, 2025, IAS announced a definitive agreement to be acquired by funds managed by Novacap, a Montreal-based private equity firm, in an all-cash transaction. Shareholders were to receive $10.30 per share, with the deal valued at about $1.9 billion. The company said the agreement followed a review of strategic options by its board.
Stockholders approved the transaction and regulatory conditions were met, and IAS announced completion of the acquisition in late December 2025. At closing, the shares ceased trading on Nasdaq, and an SEC Form 25 was filed on December 23, 2025.
IAS continues as a privately held company under Novacap's ownership, and the IAS ticker is no longer traded. Former stockholders received cash for their shares.
