About Eventbrite, Inc.

Eventbrite, Inc. operated a self-service ticketing and event technology platform that allowed organizers to create, promote and sell tickets to events, and allowed consumers to discover and attend them. The company was headquartered in San Francisco, California, and was co-founded by Julia Hartz, Kevin Hartz and Renaud Visage. Julia Hartz served as chief executive officer through the company's public life.

The platform served event creators of many sizes, from local classes and community gatherings to music festivals, conferences, and performances. Its tools covered ticketing and registration, marketing and promotion, payments, attendee management, and analytics. Eventbrite earned revenue mainly from fees charged on paid tickets sold through its platform, and it also generated income from related services such as marketing and payment processing. The company's technology was also used by organizations that run recurring programs, such as classes, workshops, fundraisers and networking events, and it provided a mobile app and consumer discovery features that recommended events to attendees. This mix of organizer tools and a consumer audience was central to how the company described its marketplace.

Eventbrite completed its initial public offering in September 2018, listing its Class A common stock on the New York Stock Exchange under the ticker EB. The company expanded through acquisitions of ticketing businesses, including Ticketfly, which it purchased from Pandora in 2017, and several international ticketing providers. The COVID-19 pandemic sharply reduced event volumes in 2020 and led to layoffs and restructuring, after which ticket sales gradually recovered.

After the pandemic, Eventbrite worked to return to growth and profitability amid competition from large ticketing companies, social platforms and other self-service tools. The stock traded well below its post-IPO levels in its final years as a public company, and the board ultimately weighed strategic alternatives. Management in these years emphasized cost discipline, product investment in its organizer tools, and the growth of its consumer marketplace, while the company also reported on the number of paid tickets sold and the gross ticket sales processed through its platform as key operating measures.

In December 2025, Eventbrite announced an agreement to be acquired by Bending Spoons, an Italy-based technology company known for acquiring and operating established digital products, for $4.50 per share in cash. The transaction was valued at roughly $500 million. Reports at the time indicated that the buyer intended to extend the platform into additional parts of the live events market, including secondary ticketing.

The merger closed in March 2026 after stockholder and regulatory approvals. Eventbrite's Class A common stock was removed from the New York Stock Exchange, with a Form 25 filed on March 10, 2026, and Eventbrite subsequently filed a Form 15 on March 20, 2026 to terminate its registration and suspend its SEC reporting obligations. The company is now owned by Bending Spoons and no longer has publicly traded stock.
