About American Woodmark Corporation

American Woodmark Corporation was founded in 1980 and was headquartered in Winchester, Virginia. It grew into one of the largest cabinet manufacturers in the United States, making kitchen, bath and home organization products for the remodeling and new home construction markets. Its common stock was listed on Nasdaq under the symbol AMWD, and the company was a long-time supplier to The Home Depot and Lowe's, as well as to homebuilders and independent dealers and distributors.

The company sold through several channels and brands. Its products were marketed under names including American Woodmark, Timberlake, Shenandoah Cabinetry, Waypoint Living Spaces, Estate and Professional Cabinet Solutions, and it also supplied private-label lines to home centers. Offerings ranged from made-to-order cabinetry to stock and cash-and-carry products. For builder customers it provided installation services through a network of service centers, which made it a one-stop supplier for larger residential developments.

A significant strategic step came in 2017, when American Woodmark acquired RSI Home Products, a California-based maker of cabinets and vanities. The acquisition roughly doubled the size of the business and added the Waypoint brand and a broader national manufacturing footprint, particularly on the West Coast. In the following years the company worked on integrating operations, expanding capacity, and managing exposure to the cyclical housing market, interest rates, lumber and material costs, and tariffs on imported components.

In August 2025, American Woodmark and MasterBrand, Inc. announced an agreement to combine in an all-stock merger. MasterBrand, a Beachwood, Illinois-based cabinet maker that was spun off from Fortune Brands in late 2022 and trades on the New York Stock Exchange under MBC, positioned the deal as a way to combine two of the largest North American cabinet portfolios. The combined business was described as having an enterprise value of approximately $3.6 billion and was expected to generate cost synergies through scale in purchasing, manufacturing and distribution.

Under the terms of the agreement, American Woodmark shareholders were to receive shares of MasterBrand common stock in exchange for their American Woodmark shares, with the exchange ratio fixed in the merger agreement and the consideration therefore dependent on MasterBrand's share price. Both companies submitted the transaction to their shareholders and the filing of a registration statement on Form S-4 by MasterBrand preceded the votes.

MasterBrand and American Woodmark announced completion of the merger on May 28, 2026, and American Woodmark became part of the MasterBrand group. Nasdaq filed a Form 25 on that date to remove American Woodmark's common stock from listing and registration, and trading in AMWD ended. Former American Woodmark shareholders now hold MasterBrand shares, which trade on the NYSE, and the Winchester-based brands continue as part of the combined cabinet business.
