About Zimmer Energy Transition Acquisition Corp.

Zimmer Energy Transition Acquisition Corp. was a special purpose acquisition company formed by Zimmer Partners, a New York investment firm founded by Stuart Zimmer that focuses on utilities, energy and related industries. The SPAC had no business of its own. It raised money from public investors, placed it in a trust account and set out to merge with a private company in the energy transition and sustainability field, which would then become publicly traded through the deal.

The company priced its initial public offering in June 2021, selling 30 million units at $10.00 each on the Nasdaq Stock Market. The underwriters exercised their full over-allotment option, bringing gross proceeds to $345 million when the offering closed on June 18, 2021. Each unit, traded as ZTAQU, contained one share of Class A common stock and one third of a warrant exercisable at $11.50. The shares later traded separately under ZT and the warrants under ZTAQW.

Stuart Zimmer served as chairman and chief executive. The SPAC said it would focus on North American companies that make products, equipment, services or technologies used across the energy value chain and that help the United States shift toward lower-carbon energy. That theme was popular among investors in 2021, and many other blank-check companies were hunting for clean energy, electric vehicle and power technology targets at the same time.

By 2023 the market for SPAC mergers had cooled sharply, many earlier deals had performed poorly and investors were redeeming shares in large numbers. Zimmer Energy Transition never announced a business combination. On June 2, 2023 it said it would not finish a deal within the period set in its charter and would instead redeem all public shares and dissolve, returning the money held in its trust account to investors.

The public shares stopped trading at the close of business on June 15, 2023, and were redeemed as of June 16, 2023, for an estimated $10.25 per share in cash. The warrants had no claim on the trust and expired worthless. Nasdaq was expected to file a Form 25 to delist the units, shares and warrants, and the company planned to deregister its securities with the SEC afterward, ending its brief life as a listed company.
