About G. Willi-Food International Ltd.
G. Willi-Food International Ltd. is an Israeli food company based in Yavne, Israel. It was established in 1994 as G. Willi-Food Ltd. and took the name G. Willi-Food International Ltd. in 1996. The company has been associated with the Williger family and has been described as a subsidiary of Willi-Food Investments Ltd.
The business centers on developing, importing, marketing and distributing kosher food products. According to its own announcement, it handles more than 650 products and sells to over 1,500 customers and roughly 3,000 points of sale in Israel and abroad. Its range has included canned and preserved vegetables, olives, canned fish, fruit, dairy items, oils, dried fruit and nuts, frozen foods, beverages and baked goods and snacks.
Products are sold under several brand names, including Willi-Food, Donna Rozza and Gold Frost. Much of the portfolio is imported from suppliers in Europe and elsewhere and then sold to supermarket chains, wholesalers and other customers in the Israeli market. The company also reports a wholly owned subsidiary, Euro European Dairies, which focuses on branded kosher dairy products.
The company's ordinary shares were quoted in the United States on Nasdaq under the symbol WILC while also trading on the Tel Aviv Stock Exchange (TASE). As a foreign private issuer, it filed Form 6-K reports and annual reports with the U.S. Securities and Exchange Commission. Over time, most trading in its shares took place in Tel Aviv, where the business and its investor base are concentrated.
On August 4, 2026, the company announced that its board had decided to delist from Nasdaq and concentrate trading on the TASE. The board said the dual listing was unnecessary given investors' access to global markets, that most of the shares already traded on the TASE, and that its operations are carried out substantially in Israel. A single listing was also expected to reduce the costs of maintaining a U.S. listing.
Under the announced timetable, the company expected to file a Form 25 with the SEC on or about August 17, 2026, with the last day of trading on Nasdaq no earlier than August 26, 2026. The shares would then trade solely on the TASE from about August 27, 2026. The company also planned to file a Form 15F around August 28, 2026 to terminate its SEC registration and reporting obligations, which are suspended on filing and terminate after a waiting period if the SEC does not object.
After the delisting, the company becomes subject only to TASE listing rules, Israeli securities law and Israel Securities Authority reporting requirements. It said shares were anticipated to be available for trading in the U.S. over-the-counter market. The delisting was voluntary, and it did not involve an acquisition, a bankruptcy or a change of control.
