About Urgent.ly Inc.
Urgent.ly Inc. is a Delaware corporation headquartered in Ashburn, Virginia. It operated a digital platform for roadside assistance and related mobility services, connecting stranded drivers with a network of service providers through a mobile application and software tools used by its business customers. Those customers included automakers, insurers, and other organizations that offered roadside assistance as a benefit to their members.
The company became public on October 31, 2023, through a business combination with Otonomo Technologies Ltd., an Israeli connected-car data company that was already listed on Nasdaq. Following the merger, the common stock was listed under the symbol ULY. At the time of the 2026 transaction the common stock was quoted on the OTCQB under the symbol ULYX.
As a small, emerging growth company, Urgent.ly reported recurring losses and operated with a concentrated customer base, which is typical of enterprise software businesses that depend on a limited number of large contracts. Management pursued cost reductions and platform efficiency measures during its time as a public company.
On March 13, 2026, Urgent.ly entered into a merger agreement with Agero, Inc., a Nevada corporation, and its wholly owned subsidiary Medford Hawk, Inc. Agero is a provider of roadside assistance and related services to automakers and insurers. The agreement called for a tender offer for all outstanding shares at $5.50 per share in cash, without interest and subject to applicable withholding taxes.
The tender offer commenced on March 30, 2026 and expired at the end of the day on April 24, 2026. Roughly 1,288,914 voting shares, about 58.7 percent of the outstanding voting shares, were validly tendered, satisfying the minimum condition of the offer.
The merger was completed on April 28, 2026 under Section 251(h) of the Delaware General Corporation Law, which permits a merger without a stockholder vote after a successful tender offer. Outstanding restricted stock units and options were cashed out at closing, and the outstanding warrant expired without consideration. Six directors resigned at the effective time, and the purchaser's directors and officers took over management of the surviving company.
Urgent.ly became a wholly owned subsidiary of Agero. A Form 25 was filed on May 1, 2026, and its common stock no longer trades.
