About United Homes Group, Inc.
United Homes Group, Inc. was a homebuilder and land developer based in South Carolina. Its operating business traces to 2004, when Great Southern Homes was founded in the Columbia area of South Carolina. The company designed, built, and sold single-family homes, primarily for entry-level and first-time move-up buyers, in fast-growing Southeastern markets.
The company became publicly traded in June 2023 through a business combination with DiamondHead Holdings Corp., a special purpose acquisition company listed on Nasdaq. After the transaction the combined company traded on Nasdaq under the symbol UHG, and its warrants traded under UHGWW. As is common for companies that go public through such mergers, it operated with a relatively small public float.
United Homes Group operated mainly in South Carolina, North Carolina, and Georgia. Its business included a land-development function used to supply its own building activity, and it offered a range of floor plans and price points. Homebuilding was cyclical and sensitive to mortgage rates, and affordability constraints in the entry-level segment placed pressure on volumes and margins during 2024 and 2025.
The company reported fourth quarter and full year 2025 results in early 2026 and, alongside that period, announced a definitive agreement to be acquired by Stanley Martin Homes. Stanley Martin is a homebuilder active in the Mid-Atlantic and Southeast that focuses mainly on entry-level buyers.
Under the agreement, United Homes Group stockholders would receive $1.18 per share in cash. The transaction was reported to value the company at approximately $221 million on an enterprise value basis, which included its debt, and it was expected to close in the second quarter of 2026, subject to customary closing conditions.
Upon completion, United Homes Group became a subsidiary of Stanley Martin Homes and stopped trading publicly. A Form 25 relating to the common stock and the warrants was filed on May 4, 2026, removing the securities from listing on Nasdaq.
The share price paid in the transaction was well below the levels at which the stock first traded after the 2023 business combination, reflecting the company's financial performance and the housing market conditions of the preceding years.
