About Soho House & Co Inc.

Soho House & Co Inc. is a global membership company built around private clubs, which it calls houses, where members can socialize, work, eat and stay. The first Soho House opened in the Soho district of London in 1995 under founder Nick Jones. Over the following decades the company expanded to cities across Europe, North America, Asia and elsewhere, adding country and beach properties and bedrooms for overnight stays.

The business operates under a family of brands. Soho House is the flagship, while Soho Works offers workspaces, Soho Home sells furniture and homewares, and the company also runs restaurants and Soho House Online, a digital membership offering. Revenue comes mainly from membership fees, in-house spending on food, beverages and accommodation, and ancillary sales. Memberships typically cover either a single house or access to the wider network.

For many years the company was privately held and operated under the name Membership Collective Group Inc. It completed an initial public offering in July 2021 and listed its Class A common stock on the New York Stock Exchange under the symbol MCG. In March 2023 the company changed its name to Soho House & Co Inc. and its ticker to SHCO. It maintained its headquarters in New York.

Following its listing, the company focused on opening new houses, improving profitability and managing a substantial debt load. Like many hospitality businesses, it faced the costs of building out venues and of operating in several countries with different cost structures. These considerations informed the board's review of how to best position the business for the long term.

In August 2025 Soho House announced a definitive agreement to be acquired by a buyer group led by MCR Hotels, with participation from Yucaipa and other investors, in a transaction valued at roughly $2.7 billion including debt. Holders of the company's Class A and Class B common stock were to receive $9.00 per share in cash. The agreement was subject to stockholder approval and customary conditions.

The merger closed on January 29, 2026, when a merger subsidiary of EH Parent LLC merged into Soho House, leaving the company as a privately held business. According to an SEC filing, the company asked the New York Stock Exchange to suspend trading before the opening on January 29 and to file a Form 25 to remove the Class A common stock from listing and registration under Section 12(b). January 28, 2026 was therefore the last day the shares traded. The company indicated it would then file a Form 15 to suspend its SEC reporting obligations.

For investors, the transaction meant that holders of Soho House Class A and Class B shares exchanged their holdings for cash at the agreed price, and the company moved out of the public markets. Delisting from the NYSE also ended the requirement to comply with exchange corporate governance standards, and the planned Form 15 filing would suspend SEC periodic reporting. The former public company continues to operate its houses, restaurants, workspaces and home goods business under private ownership, with the same membership model that has defined it since the first London house opened in 1995.
