About Perfect Moment Ltd.

Perfect Moment Ltd. is a premium performance apparel brand known for ski, snow and surf clothing, as well as activewear for women, men and children. The brand traces its origins to Chamonix in the French Alps in 1984, and the company that holds it is headquartered in London. Its products are sold under the Perfect Moment name and are marketed as combining technical function with fashion-led design.

The company sells through several channels: its own e-commerce sites, a small number of directly operated retail locations and pop-up stores, and wholesale accounts with department stores and specialty retailers. Collections are organized around seasonal ski and winter outerwear, swimwear and surf-inspired lines, and year-round activewear. The business is seasonal, with a large share of sales falling in the second half of the calendar year, and it operates on a fiscal year ending March 31.

Perfect Moment became a U.S.-listed company when its common stock began trading on NYSE American under the symbol PMNT in early 2024 following an initial public offering. Max Gottschalk and Jane Gottschalk have long been associated with the brand's ownership and creative direction, and the company positioned itself as a growth-oriented luxury label seeking to expand in the United States and Asia as well as in Europe.

Like many small-capitalization apparel issuers, Perfect Moment reported recurring net losses and carried an accumulated deficit of roughly $70 million. Annual revenue for its fiscal year was in the low twenties of millions of dollars, and the company financed operations with a revolving credit facility and periodic equity raises. In December 2024, NYSE American notified the company that it did not meet the exchange's minimum stockholders' equity standard for companies with a history of losses, and the company entered an 18-month compliance period.

By the end of that period the company had not restored its equity to the required level; stockholders' equity was reported at about $1.1 million at December 31, 2025, against a requirement of approximately $4 million. On June 11, 2026, NYSE American staff issued a determination to commence delisting proceedings. Rather than appeal, the board concluded that the compliance and administrative costs of an exchange listing outweighed the benefits at the company's current size.

Trading on NYSE American was suspended in mid-June 2026 and a Form 25 was filed with the SEC on June 18, 2026. The common stock began quotation on the OTCQB Venture Market under the same symbol, PMNT. No acquisition or merger was involved, so shareholders were not offered any cash or share consideration. The company stated that it could seek to return to a national exchange in the future, which would require a new listing application.
