About Orla Mining Ltd.

Orla Mining Ltd. was a Vancouver-based gold mining company. It was incorporated in 2007 as Red Mile Minerals Corp. and changed its name to Orla Mining in June 2015. It was listed on the Toronto Stock Exchange under the symbol OLA and on NYSE American under ORLA.

The company's flagship asset was the Camino Rojo gold and silver project in Zacatecas, Mexico, which it acquired from Goldcorp and developed into an operating open-pit mine. It also held the Cerro Quema project on the Azuero Peninsula in Panama. Jason Simpson served as president and chief executive officer.

Orla pursued a strategy of building a mid-tier gold producer through development and acquisition. Camino Rojo began commercial production in 2021, giving the company its first revenue. Later, it added the Musselwhite gold mine in Ontario, Canada, through an acquisition from Newmont, which expanded it into a multi-asset operator.

Its operations focused on exploration, mine development and production of gold, with Cerro Quema moving through development studies in Panama. The company emphasized sustainability practices and community engagement at its sites. Its shares were followed by mining analysts and were held by institutional investors in Canada and the United States.

In 2026, Orla agreed to combine with Equinox Gold Corp., another Vancouver-based gold producer, in an all-share business combination carried out under a plan of arrangement. Under the terms, each Orla common share would be exchanged for 1.00 Equinox Gold common share plus US$0.0001 in cash. Equinox Gold shares trade on the TSX and on NYSE American under the symbol EQX.

Orla announced on July 28, 2026 that it had received court approval for the arrangement, with closing expected on or about July 31, 2026. After closing, Orla's shares were expected to be delisted from both the Toronto Stock Exchange and NYSE American, and a Form 25 was filed with the SEC in connection with the NYSE American delisting.

Following the delisting, Orla planned to apply to cease being a reporting issuer under Canadian securities laws and to terminate its registration under Section 12(b) of the U.S. Securities Exchange Act of 1934. Former Orla shareholders became shareholders of Equinox Gold, which continues to trade under the symbol EQX. The combination brought together two mid-tier gold producers headquartered in Vancouver, adding Orla's Mexican, Canadian and Panamanian assets to Equinox Gold's portfolio. Because the consideration was almost entirely in shares, Orla shareholders retained exposure to gold mining through the enlarged company. Equinox Gold's common shares are listed on both the TSX and NYSE American.
