About Origin Materials, Inc.

Origin Materials, Inc. is a materials technology company headquartered in West Sacramento, California. It grew out of Micromidas, founded in 2008, and developed a process to convert sustainable carbon from biomass such as sawdust and wood residues into chemicals, including chloromethylfurfural and hydrothermal carbon, for use in plastics, textiles, and other materials. Rich Riley and John Bissell led the company as co-chief executive officers.

Origin became public in June 2021 through a business combination with Artius Acquisition Inc., a special purpose acquisition company, and its common stock and warrants began trading on Nasdaq under ORGN and ORGNW. The transaction provided capital to build its first commercial plant in Sarnia, Ontario, which was intended to produce its materials at industrial scale.

The company marketed its materials as lower-carbon alternatives to petroleum-based inputs. Its initial product plans included PET plastic made from biomass-derived intermediates, and it formed supply arrangements with consumer brands and packaging firms. Over time it also pursued applications in tire filler, carbon black substitutes, and activated carbon.

Origin later shifted emphasis toward its caps and closures business, selling PET-compatible caps designed for beverage bottles, and it adjusted the schedule and scope of its larger manufacturing projects. Like many early-stage industrial technology companies, it recorded significant net losses and its share price declined sharply after the SPAC merger.

In 2026 the board announced a plan to pursue a sale of the company's technology and associated assets as part of a goal to maximize shareholder value. The board also approved voluntarily delisting the common stock from the Nasdaq Capital Market and deregistering it with the SEC, citing the potential to eliminate significant legal, audit, and other costs of being public, even though Origin was in compliance with Nasdaq listing requirements.

The company said it expected to file a Form 25 on or about June 22, 2026, with the delisting becoming effective about ten days later. The warrants expired on June 24, 2026, and Nasdaq expected to suspend warrant trading and file a Form 25 for them. Origin planned to file a Form 15 on or about July 10, 2026, to terminate registration and suspend its reporting obligations.

Origin stated that after delisting, any trading in its common stock would occur, if at all, on the over-the-counter market, and that it did not intend to seek quotation. The board also proposed a plan of dissolution for stockholder consideration. If dissolution is approved and a certificate is filed, there would be no trading market for the shares.
