About Veradigm Inc.

Veradigm Inc., known for most of its history as Allscripts Healthcare Solutions, is a Chicago healthcare technology company. Allscripts grew into one of the largest US suppliers of electronic health records and practice management software for physician practices and hospitals, and it listed on Nasdaq in 1999 under the ticker MDRX. Its software was used by tens of thousands of physicians, and its products covered clinical records, electronic prescribing, revenue cycle management and patient engagement.

Allscripts expanded through large mergers, including Misys Healthcare in 2008 and Eclipsys in 2010. In 2022 it sold its hospital and large physician practice business, and in January 2023 it renamed itself Veradigm to focus on data, analytics and software tools for physician practices, health plans and life sciences companies. The MDRX ticker stayed the same.

In 2023 Veradigm found problems with its revenue recognition and other accounting matters and was unable to file its 2022 annual report and later quarterly reports. Nasdaq began delisting proceedings in September 2023. A hearings panel allowed more time, but in February 2024 the company said it could not meet the deadlines.

Nasdaq suspended trading on February 29, 2024, and the removal took effect on May 6, 2024. The stock moved to the over-the-counter market, still under MDRX. Veradigm said it aimed to complete its restatements and seek to relist. The move to the over-the-counter market cut the stock's trading volume and limited institutional ownership.

Veradigm also ran a review of strategic options that drew several preliminary bids, but in January 2025 its board ended the process without a sale and chose to continue as an independent company. The company said it would focus on its operational plan and on becoming current with its financial reports before seeking a new exchange listing.
