About Mountain Crest Acquisition Corp. V
Mountain Crest Acquisition Corp. V is a special purpose acquisition company based in New York, one of a series of blank-check vehicles sponsored by the Mountain Crest group. It closed its initial public offering on Nasdaq on November 16, 2021, selling units made up of common stock and rights, with the proceeds held in a trust account pending a business combination.
Its first announced target was AUM Biosciences, a Singapore-based cancer drug developer, but that agreement was terminated in 2023. Over time most public shareholders redeemed their shares as the company repeatedly extended its deadline, shrinking the trust to a small fraction of its original size.
On August 29, 2024, the company signed a business combination agreement with CubeBio Co., Ltd., a South Korean company, valuing CubeBio at $375 million. Later in 2024 Nasdaq suspended the company's common stock, rights and units for failing to meet listing standards, and they moved to OTC Pink under MCAG, MCAGR and MCAGU.
A shareholder meeting to approve the CubeBio deal was scheduled for November 11, 2026. If completed, the combined company plans to seek a Nasdaq listing under the proposed ticker KUBE, though listing is not assured, and the SPAC must finish the deal by November 16, 2026 or liquidate.
