About JM Group Limited

JM Group Limited is a Hong Kong-based company that operates as a sourcing provider, purchasing a range of consumer products on behalf of global retailers. In this model the company identifies manufacturers, manages orders and quality, and arranges supply for its customers, rather than manufacturing the goods itself. Its operations were centered in Hong Kong, a traditional hub for consumer goods sourcing.

The company was a recent entrant to the U.S. public markets. It completed an initial public offering of ordinary shares on NYSE American under the symbol JMG in December 2025, raising approximately $15 million. As a foreign private issuer, it reported under the rules applicable to non-U.S. companies and had a very short public trading history before the events that led to its delisting.

In January 2026, the SEC issued a temporary trading suspension in the company's securities. The SEC cited concerns about suspicious social media activity that appeared aimed at artificially inflating the share price and trading volume. NYSE Regulation halted trading in the shares on January 15, 2026, following the SEC's action.

The SEC's suspension lapsed after about two weeks without further public action against the company, but NYSE American kept its own trading halt in place. The exchange continued to review whether the shares remained suitable for listing, and trading did not resume. The halt lasted for roughly five months while the exchange evaluated the matter.

On June 12, 2026, NYSE American announced it would commence delisting proceedings. NYSE Regulation determined that the ordinary shares were not suitable for continued listing under Sections 1001, 1002(e), and 1003 of the NYSE American Company Guide, which allow the exchange to act on factors such as unusual trading activity and public interest concerns. The company stated that it respectfully disagreed with the determination.

The company had the right to request a review by the Listings Qualifications Panel of the Committee for Review of the Exchange's Board of Directors, with a deadline of June 19. The exchange indicated that it would apply to the SEC to remove the shares from listing and registration after all procedures were complete. A Form 25 was filed with the SEC on June 23, 2026.

The delisting was not related to an acquisition or merger, and the company remained a privately controlled operating business with its ordinary shares no longer listed on a U.S. national exchange. Because the company had listed only a few weeks before the trading halt, the shares had very little trading history on the exchange, and the halt left holders without a public market for the ordinary shares.
