About Lazydays Holdings, Inc.
Lazydays Holdings, Inc. operated recreational vehicle dealerships in the United States and was headquartered in Tampa, Florida. The Lazydays business dates to 1976, and its flagship location in Tampa combined a large dealership with an RV resort. The public company was formed in March 2018 when Andina Acquisition Corp. II, a blank-check company, completed its business combination with Lazydays, and the common stock traded on Nasdaq under the symbol GORV.
The company sold new and used motorhomes and towable RVs, and it also offered service and repair, parts and accessories, and financing and insurance products and third-party protection plans. It expanded its footprint through the 2010s and early 2020s by acquiring additional dealerships in several states. Profits rose during the pandemic-era boom in RV demand, when outdoor recreation drew many first-time buyers.
Conditions changed as RV demand cooled and interest rates rose. Higher financing costs for inventory and consumers, softer unit sales, and falling margins weighed on the industry and on Lazydays in particular, and the company reported operating losses. In its disclosures the company later cited substantial operating losses, limited cash, and an inability to continue as an independent going concern.
On October 6, 2025, Lazydays entered into an Asset Purchase Agreement to sell its assets to affiliates of Campers Inn Holding Corporation, a family-owned RV dealer network. Shareholders approved the sale and a Plan of Liquidation and Dissolution on October 14, 2025. Closings were scheduled to take place location by location between November 17 and November 26, 2025.
Lazydays announced that it would voluntarily delist its stock from the Nasdaq Capital Market and expected to file a Form 25 with the SEC in mid-November, with the delisting effective by about November 28, 2025. The filing was made on November 18, 2025. The company said it did not plan to relist or have the stock trade over the counter.
Under the plan, sale proceeds were to be applied first to secured and unsecured creditors. The company stated that shareholders were not expected to receive any distribution after those obligations were paid. The delisting therefore reflects the wind-down of the company rather than a take-private at a stated price, and there is no successor public company.
Companies that adopt a plan of liquidation and dissolution typically sell their operating assets, settle liabilities, and then dissolve under state law, and their stock is removed from the exchange before the process ends. For that reason the Nasdaq delisting of Lazydays marks the end of its life as a public operating company. Investors seeking details on any final distributions should refer to the company's SEC filings and proxy materials.
