About Guild Holdings Company
Guild Holdings Company was the parent of Guild Mortgage Company, a residential mortgage lender headquartered in San Diego, California. Guild Mortgage was founded in 1960 and grew over six decades into a national originator of home loans, operating through a branch-based retail model along with correspondent channels. It originated, sold and serviced residential mortgage loans across much of the United States.
The company's strategy centered on purchase-money lending and relationships with local real estate professionals, such as real estate agents and builders, rather than relying solely on online refinancing. It operated a large network of branch offices and held licenses in nearly every state. Guild retained mortgage servicing rights on many of the loans it sold, building a servicing portfolio that provided recurring fee revenue alongside origination income.
Guild completed an initial public offering in October 2020 and its shares began trading on the New York Stock Exchange under the symbol GHLD. The listing came during a period of historically low interest rates and strong mortgage volumes. The following years brought sharply higher rates, which reduced refinancing activity and compressed margins across the mortgage industry, and Guild, like its peers, adjusted headcount and expenses to a smaller origination market.
On June 18, 2025, Guild announced a definitive merger agreement under which Bayview MSR Opportunity (U.S.) Master Fund, L.P., an investment fund managed by Bayview Asset Management, would acquire all of the outstanding shares of Guild that it did not already own for $20.00 per share in cash. The transaction valued Guild's equity at about $1.3 billion. Bayview is a Coral Gables, Florida-based investment manager focused on residential, commercial and consumer credit and mortgage servicing rights, and its fund also owns the mortgage servicer Lakeview Loan Servicing.
The merger required approval by Guild's shareholders as well as regulatory approvals, including state and agency approvals customary for mortgage lenders and servicers. The conditions were satisfied in the fall of 2025, and on November 28, 2025 Bayview announced completion of the acquisition. Guild became a privately held company operating as an independent entity within the Bayview fund's structure.
With the closing, Guild's common stock was removed from trading on the New York Stock Exchange, and a Form 25 was filed with the SEC on November 28, 2025 to withdraw the shares from listing and registration. Holders of Guild common stock were entitled to receive $20.00 in cash per share. Because the buyer was a private investment fund, there is no successor ticker for former Guild shareholders.
