About Dolly Varden Silver Corp.
Dolly Varden Silver Corp. was a Vancouver-based precious metals exploration and development company focused on northwestern British Columbia. Its principal asset was the Kitsault Valley project in the Golden Triangle, a region known for high-grade silver and gold deposits and for several historic mines. The company was an exploration-stage business and did not generate mining revenue.
The Kitsault Valley project combined several properties, including the Dolly Varden and Torbrit silver deposits and the Homestake Ridge gold-silver deposit. Dolly Varden advanced the properties through drilling, resource estimation and technical studies, and it reported high-grade silver intercepts that supported its efforts to define a larger resource. Work in the area benefits from access to roads and the existing infrastructure of the former Kitsault mine site.
The company's common shares were listed on the TSX Venture Exchange and also on NYSE American under the symbol DVS, which gave it access to both Canadian and U.S. investors. Like most junior explorers, it financed its programs by selling equity and was dependent on capital markets and silver prices.
On December 7, 2025, Dolly Varden entered into an arrangement agreement with Contango ORE, Inc., a U.S. company whose shares trade on NYSE American under the symbol CTGO and which held an interest in the Peak Gold joint venture in Alaska. The agreement, amended on February 11, 2026, was described as a merger of equals and would produce a larger silver and gold company with assets in Alaska and British Columbia.
Dolly Varden shareholders approved the transaction, and it was completed on March 26, 2026 through a statutory plan of arrangement. Each Dolly Varden share was exchanged for 0.1652 of a Contango common share, or, for holders who elected, 0.1652 of an exchangeable share of a Contango subsidiary exchangeable one-for-one into Contango shares. Contango issued about 13.7 million common shares in the transaction, and former Dolly Varden holders and existing Contango holders each owned about half of the combined company.
Contango was renamed Contango Silver & Gold Inc. and continues to trade on NYSE American as CTGO, with an application to list on the Toronto Stock Exchange. Dolly Varden's shares were scheduled to be removed from the TSX Venture Exchange after trading on March 27, 2026 and from NYSE American on April 6, 2026. A Form 25 for the removal of the shares from listing was filed with the SEC on March 27, 2026.
The company's Canadian listing was also scheduled to end, and it planned to apply to cease being a reporting issuer in Canada soon after the closing. Former Dolly Varden shareholders now hold their interest through Contango, which is listed on NYSE American. The Form 25 became effective about ten days after filing, which matches the April 6, 2026 date announced for the NYSE American removal.
