About American Rebel Holdings, Inc.

American Rebel Holdings, Inc. designed and marketed branded safes and personal security products. Established in 2014, the company built its brand around a patriotic, pro-Second Amendment identity and sold home, office, and personal safes as well as vault doors, concealed carry backpacks, and concealed carry apparel such as jackets, vests, and coats.

The company also offered accessories including handgun hangers for vehicles, ballistic shields, safe light kits, moisture guards, and rifle rod kits. Its products were sold through regional retailers and specialty stores that focus on safes, sporting goods, hunting, and firearms, and through its own website and online marketplaces. Its operations were based in the Nashville, Tennessee area.

American Rebel listed its common stock and warrants on the Nasdaq Capital Market in 2022 under the symbols AREB and AREBW. The company expanded its product range and made acquisitions in the safe business, but it reported ongoing losses and funded operations through repeated equity and convertible financings, which contributed to heavy dilution and a falling share price.

To address its share price, American Rebel carried out a series of reverse stock splits: 1-for-9 on October 2, 2024, 1-for-25 in 2025, 1-for-20 on October 3, 2025, and 1-for-20 on February 2, 2026. Nasdaq's cumulative reverse split rules limit the availability of compliance periods for companies that have done many splits in a short time.

On February 4, 2026, American Rebel received a Nasdaq Staff notice that its common stock had failed to maintain the minimum $1.00 bid price for 30 consecutive business days, in violation of Listing Rule 5550(a)(2). Because of the cumulative reverse splits, the company was not eligible for the usual 180-day compliance period.

The board elected not to request a hearing by the February 11, 2026 deadline. As a result, Nasdaq scheduled suspension of trading in the common stock and the warrants for the opening of business on February 13, 2026, with a Form 25 to be filed to remove the securities from listing.

The company stated that it expected its common stock to be quoted on the OTCID market and planned to apply for the OTCQB Venture Market, without assurance that a trading market would develop. The delisting was not connected to an acquisition or bankruptcy.
