About Agriculture & Natural Solutions Acquisition Corporation

Agriculture & Natural Solutions Acquisition Corporation was a special purpose acquisition company formed to merge with a business in agriculture, food or natural resources. It had no operations of its own. Its plan was to raise money in an initial public offering, keep the proceeds in a trust account and use them to take a private company public. Its Class A shares traded on Nasdaq under ANSC, alongside units and warrants.

The company closed its IPO on November 13, 2023, selling 34.5 million units at $10.00 each, including the full over-allotment, for gross proceeds of $345 million. Each unit contained one Class A share and one-half of a warrant. The sponsor also bought 9.4 million private placement warrants at $1.00 apiece. The money was placed in trust pending a deal. Investors could redeem their shares for cash from the trust if they did not like a proposed deal.

On August 28, 2024, the SPAC signed an agreement to combine with Australian Food & Agriculture Company Limited, an Australian farmland and agribusiness group whose owners included a trust tied to investor Ray Dalio. The deal valued AFA at about AUD 780 million, and the combined company was expected to list under the symbol AFAE. The parties ended the agreement on April 10, 2025, citing volatile equity markets, and the SPAC and its sponsor paid the sellers about $3.5 million.

Without a target, shareholders voted on November 10, 2025 to extend the deadline to as late as November 13, 2026, while some holders redeemed about 1.58 million shares at roughly $11.01 each. The sponsor funded monthly trust deposits until June 2026 and then stopped. On July 31, 2026 the board said no deal would be completed and that the company would redeem all public shares and dissolve.

Trading in the shares ended after August 12, 2026, and they were treated as cancelled on August 13. Public holders were to receive an estimated $11.47 per share from the trust, with payment expected around August 19, 2026. The warrants received nothing and expired worthless. With no business ever acquired, the company has no successor. The separate units and warrants also stopped trading when the company wound down.
