About Solo Brands, Inc.

Solo Brands, Inc. was a direct-to-consumer outdoor lifestyle company headquartered in Grapevine, Texas. Its best-known brand, Solo Stove, was founded in 2011 and became popular for smokeless fire pits and portable camp stoves. The company later extended the line to include pizza ovens, grills and other outdoor accessories sold mainly through its own website and through retail partners.

Solo Brands assembled a portfolio of additional brands. These included Chubbies, a casual apparel brand known for shorts, Oru Kayak, a maker of folding kayaks, and ISLE, a producer of inflatable paddle boards. Most were acquired in 2021, as the company built a group of consumer brands tied to outdoor recreation and leisure.

The company completed its initial public offering on the New York Stock Exchange in October 2021 under the symbol SBDS, listing Class A common stock. It used an Up-C structure, in which the public company held an interest in an operating partnership alongside continuing members, and its early investors included private equity firms.

Demand for outdoor and home leisure products grew during the pandemic and then slowed. Solo Brands reported weaker sales, increasing promotional activity and substantial impairment charges on goodwill and intangible assets tied to its acquisitions. Its share price declined steeply from the IPO level, and the company carried significant debt that it sought to manage through amendments and refinancing efforts.

On April 2, 2026, the NYSE announced that it would commence proceedings to delist the Class A common stock of Solo Brands and that trading was suspended immediately. NYSE Regulation had determined that the company fell below the continued listing standard in Section 802.01B of the Listed Company Manual, which requires an average global market capitalization of at least $15 million over a consecutive 30-trading-day period.

The company had the right to request a review of the determination by a committee of the NYSE board. After all procedures were completed, the NYSE would apply to the SEC to remove the shares from listing. A Form 25 relating to the shares was filed with the SEC in July 2026, completing the delisting.

The delisting was not related to an acquisition or merger. It resulted from the decline in the company's market value below the exchange's minimum standard.
