Rice Acquisition Corporation 3 is a special purpose acquisition company, or blank-check company, sponsored by members of the Rice family and their affiliated team. It was formed to merge with or acquire one or more operating businesses using the proceeds of its initial public offering.

Earlier Rice-sponsored blank-check companies focused on the energy transition and combined with Archaea Energy, a renewable natural gas producer, and NET Power, a developer of low-emission natural gas power technology, and the sponsor's experience lies in energy and decarbonization. The company has no operating business of its own, and its Class A ordinary shares trade on the New York Stock Exchange while it searches for a target.
