About Kennedy-Wilson Holdings, Inc.

Kennedy-Wilson Holdings, Inc. is a global real estate investment company headquartered in Beverly Hills, California. The firm traces its roots to 1977 and built its business on buying, owning, operating and developing property while also managing capital on behalf of institutional partners. Its portfolio has been concentrated in multifamily housing, office, industrial and retail assets, principally in the western United States, the United Kingdom and Ireland, with additional holdings in other European markets and Japan at various times.

The company operated on two linked lines of business. In its consolidated portfolio it held direct and co-investment interests in properties, earning rental income and gains from sales. Through its investment management platform it raised and deployed capital in joint ventures and funds alongside partners, earning fees and promoted interests. By the time of the take-private, the company reported about $36 billion of assets under management.

Kennedy-Wilson became a public company in 2009 through a business combination with a blank-check company, Prospect Acquisition Corp., and its shares later traded on the New York Stock Exchange under the symbol KW. William McMorrow has served as chairman and chief executive officer for much of its public life. The Canadian insurance and investment holding company Fairfax Financial Holdings became a significant investor in the company early in its public history and remained a major shareholder.

A defining step in the company's growth was its expansion in Europe, including the 2017 acquisition of the London-listed Kennedy Wilson Europe Real Estate vehicle, which was itself taken private. In later years the firm shifted toward multifamily housing and sought to simplify its balance sheet, selling selected assets and raising third-party capital. Higher interest rates after 2022 pressured commercial real estate valuations, particularly in office, and the company's share price traded below levels it had reached in earlier years.

On February 16, 2026, Kennedy-Wilson entered into an agreement and plan of merger under which Fairfax and a group of senior executives, referred to as the KW Management Group, would acquire the company in an all-cash transaction. Stockholders outside the acquiring group were to receive $10.90 per share. The agreement was subsequently amended, and stockholders approved the transaction at a special meeting held on June 10, 2026.

The company announced completion of the transaction on June 16, 2026, after which its common stock ceased trading on the NYSE and a Form 25 was filed to remove the shares from listing. Following closing, Fairfax holds a majority of the economic interest in the business, while the KW Management Group retains effective and operational control of the company and its subsidiaries. Kennedy-Wilson continues to operate as a privately held real estate firm.
