About Sapiens International Corporation N.V.
Sapiens International Corporation N.V. was a provider of software for the insurance industry, headquartered in Holon, Israel. The company was founded in 1982 and was incorporated in Curacao, later reorganized as a Netherlands-based entity. Over decades it evolved from a developer of programming tools into a vendor of core platforms for insurers.
Its products covered property and casualty, workers' compensation, life, pension and annuity, reinsurance and decision management. Offerings included CoreSuite, IDITSuite, ReinsuranceMaster and DigitalSuite, plus financial and compliance tools. Customers were insurers and financial services firms in North America, the United Kingdom, continental Europe, Israel and Asia-Pacific. Sapiens sold directly and through partners and expanded through acquisitions such as StoneRiver, IDIT, Adaptik and Insseco.
Sapiens' shares were listed on Nasdaq and, in later years, also on the Tel Aviv Stock Exchange. The company was a majority-owned subsidiary of Formula Systems (1985) Ltd., an Israeli IT holding company, which is itself majority-owned by Asseco. Roni Al-Dor led Sapiens as president and chief executive for many years.
In August 2025 Sapiens announced that it had agreed to be acquired by funds advised by Advent International, a global private equity firm, in a transaction valued at roughly US$2.5 billion. The deal priced Sapiens shares at $43.50 in cash. Formula Systems, which held a controlling stake, agreed to retain a minority interest in the privately held company.
Shareholders approved the transaction on November 19, 2025, and the closing took place on December 17, 2025 after the necessary regulatory approvals. Each public Sapiens share was converted into the right to receive $43.50 in cash, and Sapiens became a private company owned by Advent with Formula Systems as a minority shareholder.
The insurance software market had been shifting toward cloud delivery, subscription pricing and artificial intelligence-enabled underwriting and claims tools, and insurers had been replacing aging core systems. Sapiens positioned its cloud platforms and its data and decision products for that transition. The company reported revenue of several hundred million dollars annually, with the majority from North America and Europe. A private ownership structure was expected to allow longer-term investment in product development without quarterly public-market pressures.
Following the closing, Sapiens' shares ceased trading on Nasdaq and the Tel Aviv Stock Exchange, and a Form 25 was filed with the SEC. Advent's operating partner Mike Ettling became executive chairman and interim chief executive, and Roni Al-Dor stepped down as president and CEO effective December 31, 2025.
