About Kaival Brands Innovations Group, Inc.
Kaival Brands Innovations Group, Inc. is a Florida company headquartered in Grant-Valkaria. It was originally incorporated as Quick Start Holdings and adopted the Kaival Brands name in 2019. It was majority owned by Kaival Holdings, LLC.
Kaival's business centered on distributing electronic nicotine delivery systems in the United States. Its principal product was the Bidi Stick, a disposable vapor device sold in a variety of flavors. It later added the Bidi Pouch, a tobacco-free nicotine pouch product, and sold to wholesale customers through a dedicated website.
The company's common stock was listed on Nasdaq under the symbol KAVL. Its revenue declined after the Food and Drug Administration's regulatory actions on unauthorized vaping products and increased competition, and its share price dropped significantly.
On April 3, 2025, Nasdaq notified the company that it failed the $1.00 minimum bid price under Listing Rule 5550(a)(2). It was granted a 180-day extension in October 2025, with a deadline of March 30, 2026, and it said it might use a reverse stock split to comply.
On November 10, 2025, Nasdaq staff separately determined that Kaival no longer qualified for listing under Listing Rule 5101. The company appealed to a hearings panel on November 17, 2025, but withdrew the appeal on December 19, 2025. The stock was suspended on December 23, 2025 and the staff determination became final.
A Form 25 was filed with the SEC in early October 2026, with removal from listing effective at the opening of trading on October 12, 2026. The delisting was due to noncompliance with listing rules and was not an acquisition, so no consideration was paid to shareholders.
